Legal Notice: In India, the Real Estate (Regulation and Development) Act, 2016 (RERA) places primary registration obligations on Builders/Developers. This agreement reflects that Agents (Realtors) act as intermediaries and must verify Builder compliance. Please consult a qualified Indian legal professional to ensure full adherence to state-specific real estate laws.

1. Acceptance of Terms

By accessing or using the Vyoma Estates website, mobile application, or services (collectively, the "Service"), operated by Vyoma Digital ("we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not access or use the Service.

2. Description of Service

Vyoma Estates is a digital marketplace connecting property buyers, tenants, sellers, and landlords with Real Estate Agents (Realtors) and Developers (Builders) in India.

We act strictly as an intermediary platform. We do not own, manage, construct, or sell any properties listed on the platform. All property transactions are direct agreements between the Buyer/Tenant and the Seller/Landlord/Developer, facilitated by the Agent. Vyoma Digital is not a party to any such transaction.

3. User Eligibility

You must be at least 18 years old to use this Service. By using the Service, you represent and warrant that you have the legal capacity to enter into this agreement.

4. User Accounts and Registration

  • You must provide accurate, current, and complete information during registration.
  • Agents: Must provide valid government ID and proof of professional practice (e.g., IIA membership, if applicable).
  • Builders: Must provide valid corporate documentation and RERA registration details for listed projects.
  • You are responsible for maintaining the confidentiality of your login credentials.
  • You are fully responsible for all activities that occur under your account.

5. RERA Compliance and Project Verification

Distinction of Roles: Under the Real Estate (Regulation and Development) Act, 2016 (RERA), the obligation to register a real estate project lies with the Developer/Builder, not the Agent.

  • Builder Obligation: Any Developer listing a project on Vyoma Estates must possess a valid RERA registration number for that specific project.
  • Agent Duty: Real Estate Agents (Realtors) using this platform agree to verify and display the valid RERA registration number of the Builder/Project they are listing. Agents must not advertise unregistered projects.
  • Portal Verification: We reserve the right to request proof of RERA registration from Builders and verification of Agent credentials. Listings lacking valid RERA numbers (where required by law) or agent credentials may be removed without notice.
  • No Guarantee: While we strive to enforce these rules, Vyoma Estates does not guarantee the validity of RERA numbers. Users are advised to independently verify RERA status on the official state RERA portal before transacting.

6. Property Listings and Accuracy

Listings are provided by third-party users (Agents, Sellers, Developers). Vyoma Estates does not guarantee the accuracy, completeness, or legality of any property information, images, titles, or descriptions.

Users should independently verify all property details, including land titles, approvals, and RERA status, before entering into any transaction. We reserve the right to remove any listing that violates these Terms or Indian laws.

7. Prohibited Uses

You agree not to:

  • Use the Service for any illegal purpose or in violation of any local, state, or national laws.
  • Post false, misleading, or fraudulent property listings (including fake RERA numbers).
  • Harass, threaten, or harm other users.
  • Attempt to interfere with the security or integrity of the Service.
  • Use automated systems (bots) to scrape data without permission.
  • Act as an unregistered developer by listing projects you do not own or manage.

8. Financial Transactions and Fees

Vyoma Estates may charge fees for premium listings, featured placements, or subscription plans for Agents and Builders.

No Escrow: We do not handle property funds. All payments for properties (down payments, installments, final payments) must be conducted directly between the Buyer and the Builder/Seller, or through authorized banking/escrow channels. Vyoma Estates is not responsible for any financial loss arising from direct transactions.

9. Intellectual Property

All content owned by Vyoma Estates (logos, code, design) is protected by the Indian Copyright Act, 1957. Users retain ownership of content they upload but grant Vyoma Estates a license to display it on the platform. Unauthorized use of any content is strictly prohibited.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMISSIBLE UNDER INDIAN LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, Vyoma Digital SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR ACCESS TO OR USE OF THE SERVICE OR ANY TRANSACTION FACILITATED HEREIN.

Specifically, we are not liable for:

  • Inaccuracies in Builder RERA registrations or project statuses.
  • Disputes between Agents and Buyers/Sellers.
  • Construction delays, title defects, or legal issues with properties.

12. Indemnification

You agree to defend, indemnify, and hold harmless Vyoma Digital and its affiliates, officers, agents, and employees from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms, your use of the Service, or your failure to verify RERA compliance as an Agent or Builder.

13. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Republic of India. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts located in Bhopal, MP, India.

14. Dispute Resolution

In the event of a dispute, the parties agree to first attempt to resolve the matter through good-faith negotiation. If negotiation fails, the dispute shall be referred to arbitration in accordance with the Arbitration and Conciliation Act, 1996 of India.

15. Changes to These Terms

We reserve the right to modify these Terms at any time. We will notify users of any material changes by posting the new Terms on this page and updating the "Last Updated" date. Your continued use of the Service after such modifications constitutes your acceptance of the updated Terms.
